1. Basic Terms:

These terms and conditions (hereinafter referred to as "Terms") represent a legal and binding contract between you (User/Users) and NEXGEN PIXEL INC., having its registered office at 254 Chapman Rd, Ste 208 #9698, Newark, Delaware 19702, United States (Nexgen/we/the Company/ mogossip). These terms and conditions (“Terms”) is applicable to the users of www.mogossip.com or any subdomains of any aforesaid URL, and mobile applications launching any aforesaid URLs (collectively “Platform” or the “Content”).

You can access the Terms at any time at Mogossip, governing your download, access, and/or use of Mogossip (the Services), and other online services, and the content, features, and services therein (the Services). You agree that by accessing the Services, you are agreeing to these terms and our Privacy Policy.

The Content may also be accessible to you on third-party platforms, which include, but are not limited to, third-party websites, mobile applications, and other internet products ("Third- Party Platforms"). This Agreement remains fully applicable to you even when you use the Platform within Third-Party Platforms. In such instances, all terms and privacy policies of these Third-Party Platforms shall also apply to you.

The Company reserves the right to modify the Terms at any time. In this case, you may be asked to accept the changes in order to continue using the Services. In the event that the Terms or future updated versions are not accepted, you must abstain from and interrupt any access to and/or use of the Services. You agree that you are at least 18 years old and agrees to these terms and Privacy policy for you to use the Services.

2. User warrants

By using the Content and/or the Platform, you agree to meet the eligibility criteria outlined in the general terms above and confirm that you are fully able and competent to understand and accept this terms as a binding contract and to comply with these Terms.

i. Content that is harmful to children.

ii. Content that violates any law in force.

iii. Material that infringes any patent, trademark, copyright, or other proprietary rights.

iv. harm anyone or to cause offence to harass any person or interfere with the ability of others to enjoy using the Services.

v. Material that belongs to any other person and to which you do not have any lawful right including, without limitation, by using our platform to impersonate any person or entity, or otherwise misrepresent your affiliation with a person, entity, our platform.

vi. Content that is harmful, defamatory, obscene, pornographic, libelous, paedophilic, invasive of other person's privacy, insulting or harassing on the basis of gender, hateful, racially or ethnically objectionable, disparaging, related to or encouraging money laundering or gambling, or otherwise harmful in any manner inconsistent with or contrary to the laws in force.

vii. Information that deceiving or misleading about the origin of the message.

viii. Content containing viruses or any other computer code, files, or programs designed to interrupt, damage, or limit the functionality of any computer device.

ix. Information that threatens the unity, integrity, defence, security, or sovereignty of the state, friendly relations with foreign states, or public order, causes incitement to the commission of any cognizable offense, prevents investigation of any offense, or is insulting to any other nation.

d) Users shall not violate or attempt to violate the integrity, defence or security of the Content and / or the Platform, and our networks; User shall not remove or amend any proprietary notices or other ownership information from the Platform.

e) Users are prohibited from attempting to decompile, reverse engineer, disassemble, or hack the Content and/or the Platform or to defeat or overcome any of the encryption technologies or security measures or data transmitted, processed or stored by mogossip. Furthermore, users are not allowed to create any derivative works of the Platform and/or the Content.

f) Users are strictly prohibited from copying, transmitting, or making commercial use in any manner of any part of the Platform, including the Platform Material, and/or the Content. User shall not use the Platform for any commercial use, or to advantage third parties or facilitate the sending of any advertisement or spam.

g) User shall not disobey any requirements or regulations of any networks that may be connected to the Platform.

h) User shall not use, or encourage, promote, facilitate or instruct others to use the Platform for any illegal, harmful or offensive use;

Mogossip may contain links to other Internet sites owned and operated by third parties. Users' use of each of those sites is subject to the conditions, if any, posted by the sites. Mogossip does not exercise control over any Internet sites apart from Mogossip and cannot be held responsible for any content residing in any third-party Internet site. Mogossip 's inclusion of third-party content or links to third-party Internet sites is not an endorsement by Mogossip of such third-party Internet site.

Users' correspondence, transactions/offers or related activities with third parties, including payment providers and verification service providers, are solely between the User and that third party. Users' correspondence, transactions and usage of the services/offers of such third party shall be subject to the terms and conditions, policies and other service terms adopted/implemented by such third party, and the User shall be solely responsible for reviewing the same prior to transacting or availing of the services/offers of such third party. User agrees that Mogossip will not be responsible or liable for any loss or damage of any sort incurred as a result of any such transactions/offers with third parties. Any questions, complaints, or claims related to any third-party product or service should be directed to the appropriate vendor.

The Platform may also be accessible on Third-Party Platforms. However, we cannot guarantee that their objectives, policies, terms, or content guidelines align with ours. We do not confirm authorization for the Platform's use on these Third-Party Platforms. Therefore, we disclaim responsibility for any representations made by them and do not accept liability for their accuracy. Users should independently review the terms and policies of Third-Party Platforms before use. We have no knowledge of or involvement in their terms and policies and disclaim liability for any loss or damage resulting from their use. We do not endorse Third-Party platforms in any way.

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NEITHER NEXGEN NOR ITS PARENT COMPANY NOR ANY OF THEIR EMPLOYEES, MANAGERS, OFFICERS OR AGENTS (COLLECTIVELY, THE " GIRITECH PARTIES") MAKE ANY REPRESENTATIONS OR WARRANTIES OR ENDORSEMENTS OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, AS TO: (A) THE SERVICE; (B) THE CONTENT; (C) THE PLATFORM; OR (D) SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION TO MOGOSSIP OR VIA THE SERVICE. IN ADDITION, MOGOSSIP HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, SYSTEM INTEGRATION AND FREEDOM FROM COMPUTER VIRUS. BY ACCESSING OR USING THE SERVICE YOU REPRESENT AND WARRANT THAT YOUR ACTIVITIES ARE LAWFUL IN EVERY JURISDICTION WHERE YOU ACCESS OR USE THE SERVICE.

5. Limitation of Liability:

To the maximum extent permitted by law, you agree to indemnify and keep indemnified Mogossip at all times from and against all liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omissions by you and or a breach of any warranty by you detailed herein to the maximum extent permitted by law. You indemnify and agree to keep Mogossip indemnified, at all times, from and against any liability, actions, claims, demands, losses, damages costs and expenses for or in respect of which Mogossip will or may become liable by reason of or related or incidental to any act, default or omission by you under these rules including without limitations resulting from or in relation to any breach, non-observance, act or omission whether negligent or otherwise, pursuant to those rules by you. To the maximum extent permitted by law, you agree to hold Mogossip, its respective Directors, Officers, Employees and Assignees, harmless for any injury or damage caused or claimed to be caused by participation in the Competition/game and/or use or acceptance of any prize won.

In any manner, website and company's management shall not be responsible for any damage to or loss of any lost opportunity, any technical interruption and/or any other related problems, which is beyond the company's controls.

Mogossip shall not be liable for any loss or damage of any nature whatsoever in connection with the contest/quizzes.

To the maximum permitted under law, under no circumstances whatsoever will Mogossip be responsible or liable to you or to any other entity, even if advised of the possibility of such damages, under any legal theory, whether contract, tort of otherwise, for any direct, compensatory, indirect, incidental, consequential, including but not limited to, any lost profits and lost business opportunities, business interruption, revenue, income, goodwill, use, data or other intangible losses, special, exemplary or punitive damages that result from or relate in any manner whatsoever, to your use of the Services, or reliance of any Services, or to any errors, inaccuracies, omissions, defects, security breaches, or any other failure to perform by the Services. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

6. Force Majeure:

Any activity of the website like delivery of coupons or goods, participation of quizzes or announcement of any winner may be postponed or referred ahead if any obstacles like company's personal situation, happening of any unnatural and unusual event or an event of any force majeure occurs. In such a situation, company will try to take the best possible decisions at that time.

7. Intellectual property right:

You acknowledge that all copyright, trademarks, and other intellectual property rights in and relating to the Services are owned by or licensed to Mogossip. You agree not to use the Services, or any elements thereof, for anything else. These terms also apply to any update or patches which we may release or make available for any of the Services and any such update or patch shall be deemed part of the Services for the purposes of these terms.

8. Internet:

Mogossip shall not be responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission. Mogossip shall not be responsible for theft or destruction or unauthorized access to or alterations of quizzes materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind. Mogossip shall not be responsible for inaccurate transmissions of or failure to display quizzes materials on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason the Internet portion of the quizzes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Competition, Mogossip reserves the right at its sole discretion to cancel, terminate, modify or suspend the Competition. Mogossip shall not be responsible for any claims arising out of any such technical failures before, during or after the quizzes/Services.

9. iWaivers of our Rights:

Our failure to exercise or enforce any of our rights under these terms does not waive our right to enforce such right. Any waiver of such rights shall only be effective if it is in writing and signed by us.
